I. The Regulatory Boundary: MiCA Exclusion vs. Ley 6/2023 LMVSI
A pervasive misconception in the digital asset industry is assuming that all blockchain-based tokens fall under the European Markets in Crypto-Assets Regulation (MiCA, Regulation EU 2023/1114).
For tokenized real estate, this assumption is legally false and leads to fundamental compliance errors.

1. The MiCA Article 2.4 Statutory Exclusion
Article 2.4 of Regulation (EU) 2023/1114 (MiCA) explicitly states that the regulation does not apply to crypto-assets that qualify as financial instruments under Directive 2014/65/EU (MiFID II).
When real estate is tokenized—whether as profit-sharing debt notes (préstamos participativos tokenizados), mortgage bonds, or equity shares in a Special Purpose Vehicle (SPV)—the resulting tokens confer financial returns, dividend rights, or liquidation claims. They are legally classified as valores negociables (transferable securities) under Article 2 of Spain’s Ley 6/2023, de 17 de marzo, de los Mercados de Valores y de los Servicios de Inversión (LMVSI).
2. DLT Representation under Ley 6/2023 LMVSI
Ley 6/2023 modernized Spanish capital markets by incorporating EU Regulation 2022/858 (DLT Pilot Regime). Articles 6, 7, and 8 of the LMVSI establish three legally valid methods for representing transferable securities in Spain:
- Traditional physical paper certificates (títulos).
- Traditional book-entry annotations (anotaciones en cuenta managed by IBERCLEAR).
- Distributed Ledger Technology entries (sistemas basados en tecnología de registro distribuido - TRD/DLT).
Real estate security tokens represented via DLT possess full legal equivalence to traditional book-entry securities, provided they comply with the mandatory ERIR registry framework.

II. Corporate Wrappers: Debt vs. Equity SPV Architecture
Physical real estate cannot be “plugged directly into a smart contract.” Land registries (Registros de la Propiedad) in Spain record legal title held by natural persons or legal entities (personas jurídicas), not cryptographic wallet addresses.
Tokenization requires a compliant corporate wrapper that bridges the physical land registry entry to the DLT ledger.

├─────────────────────────────────────────────────────────────────────────────┤

│ • Property owned 100% by SPV Issuer │
│ • Tokens represent debt claims (participating loans or bonds) │
│ • Investor status: Creditor receiving interest linked to rental yield / sale│
└─────────────────────────────────────────────────────────────────────────────┘
1. Structure 1 — Equity Tokenization (Participaciones / Acciones)
In an equity structure, a Spanish Sociedad Limitada (SL) or Sociedad Anónima (SA) acquires the real estate asset. The corporate equity is divided into digitized shares represented on DLT under Article 6 LMVSI and Article 23 of the Ley de Sociedades de Capital (LSC).
- Advantages: Direct ownership of corporate equity; capital gains from property appreciation pass through to share value.
- Corporate Requirements: Requires formal shareholder registry management and compliance with notary/mercantile registry updates for transfer validity unless handled by an accredited ERIR.
2. Structure 2 — Debt Tokenization (Préstamos Participativos / Obligaciones)
In a debt structure, the issuing company owns the real estate and issues tokenized debt securities—typically préstamos participativos under Article 20 of Real Decreto-ley 7/1996. The tokens represent loan notes paying a variable interest rate tied directly to rental income and property appreciation.
- Advantages: Streamlined issuance; avoids corporate shareholder voting complexities; interest payments represent deductible corporate expenses for the issuing SPV.
- Regulatory Thresholds: Public offerings of debt tokens exceeding €8,000,000 over a 12-month period require an approved CNMV Prospectus (folleto explicativo) under Article 35 LMVSI. Offerings under €8,000,000 targeting qualified investors or using minimum ticket sizes (€100,000+) qualify for prospectus exemptions. The Listing Act has raised the EU threshold to €12,000,000, but this is not applicable in Spain until 5 June 2026.

III. The ERIR Mandate: Article 8 LMVSI & CNMV Supervision
The cornerstone of Spain’s DLT financial market framework is the Entidad Responsable de la Inscripción y del Registro (ERIR).
Under Article 8.4 of Ley 6/2023 LMVSI and Real Decreto 814/2023, a security token issuance in Spain lacks legal validity unless an accredited ERIR entity manages the DLT registration system.

├─────────────────────────────────────────────────────────────────────────────┤

│ 3. RECOVERY MECHANICS : Executes mandatory position recovery in cases of │
│ lost private keys or court-ordered seizures. │
│ 4. CNMV REPORTING : Submits official regulatory audit feeds under │
│ Real Decreto 815/2023. │
└─────────────────────────────────────────────────────────────────────────────┘
1. Who Can Act as an ERIR in Spain?
In primary financial markets, Article 8 LMVSI restricts the ERIR role to authorized entities qualified to safeguard and administer financial instruments in Spain:
- Investment Services Firms (Empresas de Servicios de Inversión - ESI): Investment agencies (Agencias de Valores) and brokerages (Sociedades de Valores).
- Credit Institutions (Entidades de Crédito): Licensed Spanish commercial banks.
- Official Registry Entities: Accredited entities inscribed in the CNMV’s official ERIR registry under Article 2(b) of Real Decreto 815/2023 (e.g., Ursus-3 Capital, the first CNMV-approved ERIR entity in Spain).
2. Why Smart Contracts Alone Are Legally Insufficient
A smart contract deployed on Ethereum, Polygon, or an enterprise DLT network can technically execute token transfers. However, under Spanish law, a smart contract is an execution mechanism, not a legal registrar.
Without an ERIR maintaining the official register, a token transfer does not convey legal title (traspaso de la propiedad del valor) under Article 11 LMVSI. In the event of a dispute, the Spanish courts and the AEAT recognize only the ledger certified by the designated ERIR.

IV. Wealth Tax Treatment: DGT Ruling V2432-25
For high-net-worth investors residing in Spain, real estate tokens enter the taxable base of the Impuesto sobre el Patrimonio (and the federal Impuesto Temporal de Solidaridad de las Grandes Fortunas - ITSGF).
On 11 December 2025, the Dirección General de Tributos issued binding ruling V2432-25, clarifying the valuation rules for tokenized financial instruments.
| Asset Type | Wealth Tax Valuation Base (Arts. 13–16 LIP) |
|---|---|
| SPV Equity Tokens (Unlisted Shares) | Higher of: Nominal Value OR Audited Book Value per latest approved corporate balance sheet. |
| Debt Bond Tokens (Préstamos Participativos) | Nominal face value plus accrued, unpaid interest as of December 31. |
| Lock-Up Clauses (Incesibilidad) | NO DISCOUNT PERMITTED. Inalienability restrictions do not reduce the taxable Wealth Tax base. |
1. Valuation Standards under Ley 19/1991 (LIP)
- Unlisted Equity Tokens (Art. 16 LIP): Valued at the higher of two metrics: the nominal value of the share or the proportional net asset value (valor teórico) resulting from the SPV’s last approved balance sheet audited by a registered auditor (ROAC).
- Debt / Bond Tokens (Art. 13 LIP): Valued at their nominal face value plus any accrued, unpaid interest as of December 31.
2. The Lock-Up / Illiquidity Rejection
DGT V2432-25 explicitly rejected arguments from taxpayers claiming that contractually locked or secondary-market illiquid tokens should receive a valuation discount for Wealth Tax purposes. The full accounting or nominal value applies regardless of trading restrictions.
V. The Declarative Perimeter: Modelo 720 vs. Modelo 721
Failing to distinguish between traditional foreign asset reporting (Modelo 720) and foreign cryptocurrency reporting (Modelo 721) triggers administrative compliance errors.
┌─────────────────────────────────────────────────────────────────────────────┐
│ MODELO 720 VS. MODELO 721 DECLARATIVE MATRIX │
├─────────────────────────────────────────────────────────────────────────────┤

│ Foreign Real Estate (Direct) │ BLOCK 3 (Property) │ EXEMPT (Not Crypto) │
└─────────────────────────────────┴─────────────────────┴─────────────────────┘
1. Why Real Estate Tokens Are EXCLUDED from Modelo 721
Modelo 721 was enacted under Real Decreto 249/2023 specifically to report virtual currencies (monedas virtuales) held in foreign self-custody or on non-resident CASPs (Art. 42 quater RD 1065/2007).
Because real estate tokens represent financial securities (valores negociables / préstamos), they do not meet the legal definition of virtual currencies. They must never be reported on Modelo 721.
2. The Modelo 720 Block 2 Classification
- Domestic Emissions: Tokens issued by a Spanish SPV or registered via a Spanish ERIR entity represent domestic Spanish assets. They are exempt from both Modelo 720 and Modelo 721.
- Foreign Emissions: Tokens representing equity or debt in a foreign real estate entity (e.g., a US Delaware LLC tokenized via a US platform) qualify as foreign financial values. If the total position exceeds €50,000 on December 31, it must be reported in Block 2 of Modelo 720 (Valores y Derechos en el Extranjero).

VI. Investor Onboarding & AML Protocols (Ley 10/2010)
Because real estate tokens are financial instruments, issuers and ERIR entities are subject to mandatory anti-money laundering compliance under Ley 10/2010.
┌─────────────────────────────────────────────────────────────────────────────┐
│ MANDATORY INVESTOR ONBOARDING CHECKLIST │
├─────────────────────────────────────────────────────────────────────────────┤

│ 4. WHITELISTED WALLET : Wallet address bound to investor NIF via ERIR. │
└─────────────────────────────────────────────────────────────────────────────┘
An investor cannot anonymously purchase or trade Spanish security tokens on a secondary DEX without prior wallet whitelisting by the ERIR entity. Any transfer to an unverified or non-whitelisted address is automatically rejected by the ERIR smart contract permission layer.
VII. Destination & Structuring Comparison Matrix
Issuers and investors evaluating real estate tokenization structures must compare regulatory frameworks, costs, and AEAT audit risk:
